Terms of sale.
The terms applicable to the consulting, coaching, leadership and health and EQOS Forecast services provided by The Bright Company AG.

1. Purpose
These general terms govern the services of The Bright Company AG: strategic consulting, coaching, leadership and health, concierge services and EQOS Forecast studies. Any order implies full and complete acceptance of these terms.
2. Quote and order
Each service is the subject of a quote or written proposal detailing the scope, the deliverables and the price. The order is firm upon signature of the proposal or written acceptance of the quote.
3. Price
Prices are expressed in Swiss francs (CHF), excluding tax where applicable. EQOS Forecast studies follow the price grid in force; consulting, coaching and leadership and health services are set by quote. A 30-minute pre-diagnostic is offered, free and without commitment.
4. Payment terms
Unless otherwise agreed, services are payable by bank transfer upon receipt of invoice. Long engagements may be staged (for example in several monthly payments). Any late payment may incur interest at the Swiss legal rate.
5. Delivery timelines
The timelines indicated in the proposal are given for guidance and depend on the availability of information and the client's collaboration. They shall not engage the liability of The Bright Company AG in the event of a reasonable overrun.
6. Client's obligations
The client undertakes to provide accurate and complete information, to collaborate in good faith, and to designate a contact with the decision-making authority necessary for the smooth running of the engagement.
7. Intellectual property & confidentiality
The deliverables provided to the client are granted for their own use. The methodology, models, tools and know-how of The Bright Company AG — in particular the EQOS Forecast method — remain its exclusive property and may not be reproduced or disclosed.
Both parties undertake to strict confidentiality regarding the information exchanged during the engagement. A specific non-disclosure agreement (NDA) may be concluded.
8. Liability
The Bright Company AG is bound by an obligation of means. The projections, analyses and recommendations are estimates based on the available data and shall not constitute a guarantee of results. Its liability is limited to the amount of the service concerned.
9. Right of withdrawal
For consumer clients, a right of withdrawal may apply in accordance with the law. For business-to-business services, the termination conditions are set out in the proposal. Early performance at the client's express request may waive the withdrawal period.
10. Applicable law and disputes
These terms are governed by Swiss law. Any dispute shall be submitted, failing an amicable solution, to the competent Swiss courts at the company's registered office.
